OVERVIEWThe Senior Legal Counsel is a member of the Governance, Risk and Compliance legal team of lawyers, paralegals, and contract managers who support the businesses.LOCATION: Houston TX (preferred), Boston MA, Hartford CT, New York City NY, or remoteRESPONSIBILITIESDrafting, negotiating, reviewing and providing legal support on a wide range of sophisticated domestic and international technology agreements, including software license and support agreements, software-as-a-service (SaaS) agreements, professional services agreements, strategic partner agreements and vendor contractsDrafting, negotiating and reviewing data protection and information security agreements and providing ongoing legal counsel on privacy laws (including GDPR, CCPA and HIPAA)Creating and continuing the improvement of standard form agreements, playbooks, policies and legal processesPartnering with management and sales, marketing, product and finance teams and advising on day-to day-legal issues, risks and best practices, intellectual property matters and compliance activitiesManaging disputes, litigation and outside counsel relationshipsDeveloping an in-depth knowledge and understanding of the GRC businesses, their people, organization, markets, products, technologies, customers, competitors and regulatory environment in order to identify trends, spot potential issues and provide high-level legal and commercial advice to the businessesPerforming other assignments and projects as requiredQUALIFICATIONS Education: JD from an accredited law school and member of the bar in good standing in at least one U.S. jurisdiction.Experience:5+ years of legal experience; a combination of law firm and in-house experience preferredAt least 3 years direct experience providing legal services to technology companies; international experience preferredSignificant experience drafting and negotiating sophisticated commercial contracts, including SaaS and software license agreementsStrong intellectual property background preferredSignificant experience with data privacy and information security issuesExcellent communication, organizational and management skillsStrong analytical and negotiation skills with attention to detailAbility to work under pressure, meet deadlines juggle multiple projects with contending priorities, and adapt to change in a dynamic environment
