Job Description
Role will report directly to the Deputy General Counsel and will handle the following:
Participation on Transaction Review Committee; review and negotiate engagement lettersPrimary support for CLO deal team on approved transactions (manage external counsel, etc) and on ABS, CMBS transactions, some review of diligence filesReview term sheets & offering documents, note purchase agreements, placement agreements on transactions (144 A deals)Provide legal support to loan trading business, specifically the negotiation of referral agreements and future development of loan trading capabilitiesProvide negotiation of confidentiality agreements relating to loan trading businessTrack regulatory developments/litigation/new legal issues having an effect on mortgage business
